Close Corporations in 2026: what's actually changed?
If you still run a CC, here's the compliance reality most owners don't know about.
CCs can no longer be registered — but existing ones must still file annual returns and now fall under Beneficial Ownership requirements. Missing these deadlines means penalties starting at R500, escalating to R1,000 and R2,000, and eventually deregistration.
Our latest blog breaks it down:
→ What CCs must still do under CIPC
→ How BO filing applies to your CC
→ The penalty structure if you fall behind
→ Whether converting to a Pty Ltd makes sense

R10 million fines for missing beneficial ownership filings? The new AML Amendment Bill is real.
South Africa's AML Amendment Bill (B15-2026) is moving through Parliament. What it introduces:
• Fines up to R10 million for BO non-compliance
• CIPC gains direct penalty powers — no more routing through courts
• Deregistration power for persistent non-filers
For context: current penalties are escalating fines of R500, R1,000, then R2,000. The new framework raises the ceiling dramatically.
If your company hasn’t filed its beneficial ownership documents yet, the cost of waiting just got higher.
BoDocs generates all four CIPC documents in about 8 minutes. From R149.99, or R249.99 and we file for you.

Dormant company? CIPC still expects your beneficial ownership filing.
Many SA business owners assume a dormant company has no CIPC obligations. That's not the case — annual returns and beneficial ownership documents are still required, regardless of trading activity.
Skip these and you risk deregistration. Restoring a deregistered company is slower, harder, and more expensive than staying compliant.
Here's what dormant company owners need to know:

In March 2026, the US permanently scrapped beneficial ownership reporting for small businesses. FinCEN said the burden outweighed the benefit.
South Africa went the other way. Since 1 July 2024, CIPC blocks your annual return if your beneficial ownership declaration isn't filed and up to date.
Two countries. Two opposite calls.
What it means for you: BO compliance in SA isn't going anywhere. If anything, enforcement is tightening.
Need to file? BoDocs generates all four CIPC documents from guided questions. About 8 minutes. From R149.99.

Selling your business? There's a CIPC compliance step most sellers overlook — and it can delay the entire transaction.
Your beneficial ownership declaration must be current before any change in ownership is reflected at CIPC. If it's outdated, the new owner inherits a compliance mess.
We just published a full guide on what to file, update, and transfer.

Compliance isn't a once-off.
Your beneficial ownership filing has to be updated within 10 business days whenever ownership actually changes:
• shares transferred
• a new shareholder comes in
• a director appointed or removed
• a shareholder passes away
If your register says something different to reality, you're not compliant — even if you filed perfectly last year.
