When a marital estate includes a closely held business, the value of goodwill often becomes a contentious issue. Whether goodwill is considered a marital asset depends on case facts, state law and legal precedent. There are two types of goodwill. Business goodwill belongs strictly to the entity itself. Conversely, personal goodwill is directly attributable to the individual owner’s characteristics or attributes. More than half the states exclude personal goodwill from the marital estate (but still include business goodwill) if the owner’s earnings are used to determine maintenance payments.
