**Unternehmensnachfolge ist keine Frage des Preises, sondern der Kontrolle**
đŞ Bei Unternehmensverkäufen gehtâs nicht darum, die Kontrolle Ăźber die eigene Firma abzugeben. Es geht darum, VORHER ganz genau festzulegen, wie viel du davon behalten willst.
đ FĂźr so einen Deal gibtâs fĂźnf Stufen:
1) Nichts machen - volle Kontrolle, kein Geld aufs Konto, alles auf eine Karte.
2) Debt Recap - kleiner Auszahlungsbetrag, kaum Verwässerung, du gibst fast keine Kontrolle ab.
3) Minority Recap - du nimmst schon etwas vom Tisch, behältst aber die Mehrheit; ein Partner bringt Kapital fĂźr die zweite, grĂśĂere Auszahlung.
4) Majority Recap - groĂer Cash-out, Kontrolle wird auf ein Minimum reduziert, und die Schulden sitzen unter dem Eigenkapital, das du behältst.
5) Kompletter Verkauf - voller Wert, kein Anteil mehr, kein Stimmrecht, keine MĂśglichkeit, dein Team zu schĂźtzen.
Stufe drei und vier tauschen beide einen Teil der Kontrolle gegen einen Partner ein, der Kapital und Ressourcen mitbringt.
Deshalb solltest du nicht einfach das Angebot nehmen, das am grĂśĂten klingt. Du musst zuerst klären, wie dein Leben als GrĂźnder nach dem Deal eigentlich aussehen soll.
Das ist am Ende viel wichtiger als alles, was im Term Sheet steht.

đ¤ Die meisten Unternehmer glauben, sie hätten ein Preisproblem.
In Wahrheit haben sie oft ein Klarheitsproblem. Dazu gleich mehr.
Ich habe in den letzten Jahren mit Hunderten Unternehmern gesprochen - als strategischer Berater, als Sparringspartner und auch als jemand, der selbst aktiv nach Unternehmen sucht, die man erwerben kann. Und genau aus dieser Perspektive sieht man ziemlich schnell: Die meisten Deals scheitern nicht an der ersten Story oder an der ersten Einigung ßber den Preis. Sie scheitern später. Dort, wo es ernst wird.
Dann zeigt sich, ob ein Unternehmen wirklich ßbergabefähig ist - oder ob es bislang vor allem auf Vertrauen, Hoffnung und der Person des Owners gelaufen ist. Verkäufer sind oft nicht sauber vorbereitet, Unterlagen sind lßckenhaft, Zahlen nicht belastbar, Rollen nicht sauber getrennt, Erwartungen zu hoch. Und als Buyer merkst du das meistens genau dann, wenn du eigentlich schon tiefer drin bist. Und aller spätestens bei den Finanzierungsgesprächen wird aus Unsicherheit schnell Wertverlust.
đ¤ˇââď¸ Das gleiche Muster sehe ich beim Pricing.
Viele Unternehmer verlangen nicht zu wenig, weil ihr Angebot zu schwach wäre.
Sondern weil der Wert dahinter nicht präzise genug sichtbar wird. Wenn diese Klarheit fehlt, wird auch der Preis unsicher. Dann entstehen Rabatte, Erklärungsbedarf und unnÜtiger Margendruck.
Wer Profitabilität verbessern will, sollte deshalb nicht nur auf den Preis schauen, sondern zuerst auf die Frage: Ist unser Wert wirklich klar genug aufgestellt?
Gesunde Marge entsteht selten zufällig.
Sie ist meist das Ergebnis von Klarheit, Struktur, Positionierung und guter Kommunikation. Und genau das macht ein Unternehmen langfristig auch attraktiver - fßr Kunden, fßr Mitarbeitende und fßr Käufer.

đď¸ Depending on my mood and what city I'm in, after a light, no-carb, dinner, I reflect while strolling along the waterfront, canals, or beach. On my way back, I listen to an audio-summary book on a topic I want to explore or preps me for tomorrow's next client session.
This rhythm helps me sleep better and show up stronger the next day.

Truth: I started with zero experience in real estate, eCommerce, land acquisitions, developments, coaching, consulting, and creative financing with private debt and equity capital - then learned by doing.
Why it matters: You can wait until you feel ready, or you can do the work. Only one of those gets results.
What helps is finding a mentor or coach who can build your courage and confidence, get you started faster, and shorten the time it takes to make progress and succeed.

Ein einfacher 7-Fragen-Test zeigt ziemlich gut, wie unterschiedlich und "weird" Menschen wirklich sind. Das Ergebnis ist ßberraschend: Selbst der hÜchstmÜgliche Score liegt bei weniger als 7 %. Egal, wie normal du dich selbst einschätzt - du passt vermutlich nur mit rund 7 % der US-BevÜlkerung zusammen. Bei mir waren es weniger als 0.6%.
