Tuesday at 11:00 AM ET: are you building a business a buyer would actually compete for?

A profitable business is not automatically a valuable one. How dependent your company is on you, and how predictable the revenue is, shapes what a buyer is willing to pay long before you ever list it for sale.

Join Eric Togneri tomorrow and learn what buyers look for before they make an offer, and what you can start doing now to change the outcome.

Ever sign a deal at one price and watch the number change by the time you get to closing?

Working capital is usually why. Buyers set a target for how much cash and short term resources your business needs on hand to keep running the day after they take over. Deliver less than that target and your price gets reduced. Deliver more, and you may actually get paid more.

Most owners have never heard of this until it shows up in a deal. Read this before it shows up in yours.

Learn what working capital means in a business sale, why buyers set a target for it, and how it can raise or lower your final purchase price.

Most business owners can tell you their revenue without thinking twice. Far fewer can tell you what their business would actually sell for today.

We have helped privately held business owners answer that question for more than two decades, across nearly every industry you can name. More than 1,000 valuations later, the pattern is always the same. The owners who know their number make better decisions, whether they sell next year or a decade from now.

If a private equity firm called you tomorrow and made an offer, would you know if it was a good one?
Most business owners would not. And that is exactly what buyers are counting on. They have done the math on your business long before they pick up the phone, and they know what they will offer and how the deal will be structured before you ever sit down together.

Join Eric Togneri for a live session on what buyers actually look for before they make an offer, where hidden risks quietly lower a business's value, and what you can start strengthening today, even if you are not planning to sell for years.

The answer to that question is not a range or a rule of thumb. It is a specific number based on your actual earnings, your industry, and what buyers in today's market are actually paying.

Right now most business owners have no idea what that number is. You have spent years building something valuable. Find out what it is worth before anyone else tells you.

If you own a construction business and you are thinking about selling, the number a buyer puts on the table will probably surprise you.

For most construction owners it comes in lower than expected. Not because the business is not valuable but because construction businesses are valued on factors most owners have never been told about. Your backlog of signed contracts matters as much as your last year of revenue. Your contractor's license affects whether the business can even transfer. And if you are the primary estimator, the key client relationship, and the one who manages the biggest jobs, a buyer is not paying top dollar for that.

You have built something real. Make sure you understand what it is actually worth before a buyer tells you.

The business owners who regret their exit almost always say the same thing. They wished they had started planning sooner.

The ones who do not have regrets worked with advisors who understood not just the transaction but the years of work that led up to it. Who helped them understand their number before a buyer told them. Who built an exit strategy around the life they wanted to fund, not just the deal they could get.

That is what ExitOnTop does.

For most business owners, selling the company is not just a financial decision. It is a personal one. And one of the most personal parts of it is what happens to the people who helped build it.

What actually happens to your team, their jobs, and their benefits when ownership changes hands is something every owner should understand before the process starts.
