You’ve spent years building your business. But have you ever wondered how attractive it might be to a potential buyer?

A strong business isn’t defined by revenue alone. Buyers may also consider your financial performance, customer base, systems and processes, competitive advantages, key dependencies—and even how much the business relies on you.

The IBA Business Sellability Assessment is designed to help you take a closer look at these important areas and identify potential strengths and opportunities for improvement.

Sometimes the value isn't just in the software. It's in everything that has already been built around it.
Included in this asset sale are nearly 900 dynamic PDF reports and assessment materials supporting the assessment platforms.

Developing that depth of content, documentation, reporting and supporting material internally could require substantial time and resources. Here, that library is part of the acquisition.

AI Is Coming to M&A Due Diligence. Is Your Company Ready?

The tools buyers use to evaluate businesses are changing.

73 Strings recently acquired Callisto, a private-markets technology company whose AI capabilities automate workflows involving due diligence, data-room analysis, financial documents, complex Excel files and due-diligence questionnaires.

For business owners considering a future sale, the takeaway is important:

AI won’t hide messy records. It may help the buyer find them faster.

As AI becomes more integrated into M&A and private-market workflows, buyers and their advisors may be able to review and analyze large volumes of information more efficiently, including:

• Financial records and spreadsheets
• Contracts and agreements
• Data-room documents
• Due-diligence questionnaires
• Operational and historical business data

That makes pre-sale preparation even more important. Inconsistent financials, missing documentation, unusual transactions, poorly organized contracts or unexplained discrepancies may become easier to identify as diligence technology improves.

The best time to clean up those issues isn’t after a buyer starts asking questions. It’s before your business goes to market.

Preparing early gives you time to organize your records, address potential concerns and present a clearer picture of the business you’ve built.

Thinking about selling in the next few years? IBA can help you identify areas to address now so you’re better prepared when diligence begins.

Fragmented industries often follow a predictable path as consolidation accelerates: independent operators become regional platforms, platforms make add-on acquisitions, and larger institutional buyers enter the market.

For business owners, the question is where you want to fit into that cycle: sell before consolidation, participate in it, or position your company to become the platform?

Interest Rates Went Up. Here’s the Number Business Owners Should Calculate Now.

If you’re thinking about selling your business, EBITDA isn’t the only number that matters. Another critical number is your financeable value — what a buyer can realistically afford to pay based on the cash flow available to support acquisition debt.

Consider this example:

A business may have a theoretical valuation of $8 million based on its EBITDA and an appropriate market multiple. But under a typical buyer capital structure, the company’s cash flow may support only $6 million–$7 million in acquisition financing.

That creates a gap between what the business may be worth on paper and what a buyer can actually finance. It doesn’t necessarily mean the deal can’t happen. It means the structure — or the business — may need to change.

Options could include:

• More buyer equity
• Seller financing
• A strategic buyer with a different capital structure
• Improving EBITDA and cash flow before going to market
• More time to prepare for the sale

For business owners, this is why exit planning shouldn’t begin when you’re ready to sell.

Understanding your business’s value is important. Understanding how that value translates into a financeable transaction can be just as important.

If selling your business could be in your future, IBA can help you evaluate the numbers, identify potential gaps, and prepare well before you go to market.

What happens when you add marketing to a business that grew without it? That's one of the most interesting questions surrounding this acquisition opportunity.

This custom hardwood manufacturer built approximately $1.5 million in annual revenue with no outside salesperson and almost no marketing spend. Business has largely come through repeat customers and word of mouth.

Potential growth opportunities include:

• Dedicated outside sales
• E-commerce and SEO
• Geographic expansion
• Additional wholesale accounts
• New product categories

For a growth-minded buyer, the foundation is already there.

New SBA business acquisition lending rules take effect tomorrow, October 1. What should business owners take away from these changes? Preparation matters.

For owners considering a future sale, that means paying attention to:

• Reliable historical earnings
• Clean, supportable financial records
• A realistic and supportable business valuation
• Sustainable customer relationships
• The amount of acquisition debt your cash flow can support
• A properly structured transaction

You may not control the lending rules, but you can control how prepared your business is when a buyer arrives.

The best time to start preparing for a sale isn't when you have a buyer—it's well before your business goes to market.

What your business is “worth” and what a buyer can finance aren't always the same number. Under the new SBA rules, lenders will look closely at both:

• The independent business valuation
• The historical cash flow available to make loan payments

A strong valuation alone may not be enough if the business does not generate sufficient qualifying cash flow to support the acquisition debt.

For sellers, understanding the relationship between value, cash flow and financing before going to market can help set more realistic expectations.

Thinking about selling your business in the next few years? Reach out to learn how these pieces work together.
