If you own a U.S. LLC or small business, you may still have BOI reporting on your to-do list.
But here's the good news: the rules have changed significantly.
Under FinCEN's latest BOI final rule, effective August 14, 2026:
β U.S.-created companies are exempt from BOI reporting
β U.S. persons don't need to provide BOI to reporting companies
β U.S. person beneficial owners don't need to be reported
β U.S. persons with a FinCEN ID don't need to update or correct previously submitted information
So, do you need to file a BOI report for your LLC? For most U.S.-created LLCs and corporations, the answer is no.
There is an important exception: certain foreign entities registered to do business in the U.S. may still have BOI reporting obligations, so be sure to check with a professional if you're uncertain.
