What You Need to Know About the Corporate Transparency Act (CTA) 01/10/2023

IMPORTANT NEW FILING REQUIREMENT FOR
ALL BUSINESS OWNERS

Have you heard or read about the Corporate Transparency Act?

This new filing requirement aims to combat money laundering and related “bad acts.” In the meantime, you, as a business owner now, must take on a new reporting process. It applies to ALL corporations, LLCs, LLLPs, partnerships, and even business trusts.

Some entities may only need to file once to claim an exclusion. Many small businesses will be required to file annually. The effective date is January 1, 2024, so you have some time to plan.

These reports will be filed with FINCEN – the Financial Crimes Enforcement Network, a United States Treasury department. The penalties for failure to comply are substantial. Do Not Ignore This!

Want to learn more?
I recommend the following video from John Strohmeyer. He is an attorney we work with on various clients. I believe you will find the 45-minute video informative and valuable. https://www.youtube.com/watch?v=jVh1rhO-Ge4

If You're Outside the U.S. and Plan to Operate a Business in the U.S. - You Need a Game Plan and a Team of U.S.-Based Advisors: International Tax CPA & International Tax Attorney

Steve recently participated on an expert panel discussing the critical considerations for foreign businesses and investors looking to do business in the United States.

Their professional insights included remarks on business structure considerations, tax obligations, FERPA, business tax credits, and opportunities.
Listen to the entire podcast.

Summary of Points
1. Your team of U.S. advisors (International CPA and Attorney) will lead you through the minefield of what the U.S. requires.
2. Insight into which business structure is proper for your long-term vision; it could be a corporation, partnership, or LLC, depending on your business objectives.
3. Taxes are multi-layered at the federal, state, sales, property, and franchise tax points.
4. Your CPA and Attorney are an integral part of your team. They know where to look for savings opportunities that you may qualify for, such as employment tax credits, energy credits, or research and experimentation.
5. Thoughts about opportunities for technology companies, real estate investing, and bringing your business to the U.S.
• Rely on your advisors - do not do this alone.
• Need U.S. knowledge, insight, and a team to work with you before, during, and at the sale. They will guide you through the system to avoid penalties and pay more taxes. Money spent upfront planning will pay for itself.

The United States is an attractive place to invest. The system encourages transparency, the currency is stable, and the overall attitude is pro-capitalist.
It's possible to build wealth by doing business or investing in the United States. You can do it carefully with the right team of advisors.

As we celebrate her 10th anniversary, we want to thank her for the difference she's making and acknowledge our business, clients, and colleagues wouldn't be the same without her. We’re grateful and honored she chose to invest her career with us, but more importantly, we’re fortunate to consider her our friend.

Most life events trigger a financial event - marriage or divorce, buying or selling a business, having children, college or retirement. Most financial events - significant or routine - trigger tax consequences.

However, most people only think of their taxes leading up to their tax return. We want to encourage you to expand your perspective. Include tax planning as part of your year-round financial management practice.

CPAs assist in many different ways on your behalf. Their honesty and integrity are keystones of their profession.

Call and schedule a Tax Planning Session now - before the end of the year. There may be tax considerations only available in the current year.
