🚨 Quick Update: Articles of Incorporation Submitted! 🚨

I’ve just finished submitting the updated Articles of Incorporation for one of my clients, which now includes their trade name and amended purpose. ✅

Why does this matter?
It's really important for a business to stick to what’s outlined in its Articles when it comes to what it does. If a business starts operating outside the scope of its stated purpose, it can lead to some serious consequences, like fines or penalties. 🛑

The Revised Corporation Code (Section 44) of the Philippines is clear about this—businesses are expected to stay within the powers and purposes they’ve listed in their Articles of Partnership or Incorporation. If you go beyond that, it's considered "ultra vires," which could cause some legal issues.

So, if you're planning on changing what your business does or adding a trade name, it’s best to consult with a professional (like a CPA or lawyer) to make sure everything is in line with the law. Better safe than sorry! 👍

The BIR has issued Revenue Regulation 17-2024 for those businesses that participate in government contracts to make their tax clearance available. "The provision clearly shows that the BIR tax clearance is not only required to be submitted by the contractor during the procurement process as an eligibility requirement. In order to ensure payment of taxes in full and on time, the BIR tax clearance is also required to be presented by the contractor on a regular basis as proof of payment of taxes during the duration of the contract entered into with the government. Non-submission of such tax clearance entitles the government to SUSPEND the payment for any goods or services, including infrastructure projects, delivered by the contractor".
