The Securities and Exchange Commission (SEC) has recently issued Memorandum Circular (MC) No. 2, s. 2024 regarding the filing of Annual Financial Statements and General Information Sheet.

👉 For corporations whose fiscal year ends on December 31, 2023 shall file their AFS through the SEC's eFAST. The deadlines for filing of the AFS shall be in accordance with the schedule provided.
👉 GIS shall be filed within 30 calendar days from the actual annual shareholders'/members' meeting, or in the case of foreign corporations, the anniversary date of their respective SEC licenses.
👉 Appointment of officers for OPC shall be filed within 15 days from the date of issuance of the OPC's certificate of incorporation or within 5 days from when the change was reflected.
