Nepal Rastra Bank’s 5th FIFL Amendment - a meaningful step forward for FDI in Nepal.

Published on 29 December 2025, the 5th Amendment to the Foreign Investment and Foreign Loan (FIFL) Bylaws, 2078 marks a clear shift in regulatory philosophy: from centralised approvals to bank-led processes, supported by risk-based oversight.

Key takeaways:
▪️ No separate NRB approval for foreign equity investment (including brownfield projects)
▪️ Repatriation of dividends and capital largely delegated to licensed commercial banks
▪️ Targeted NRB approval retained only where the risk profile increases (e.g. change in destination country)
▪️ Stronger transparency and monitoring through structured reporting rather than procedural delays
