Guidelines on Foreign Participation in Malaysia’s Distributive Trade Services

COMPLIANCE

Foreign business operators intending to participate in distributive trade services in Malaysia are encouraged and recommended to obtain the relevant approval from the Ministry of Domestic Trade and Cost of Living (KPDN) before commencing their business operations.

Foreign investors should therefore assess whether their proposed business activities fall within the scope of the Guidelines on Foreign Participation in Malaysia’s Distributive Trade Services and determine the applicable KPDN approval requirements, conditions and compliance obligations before commencing operations.

Quick Purchase of a Ready-Made Company
Malaysia Shelf Company | Benefits of a Malaysian Ready-Made Company

Looking to own a Sdn. Bhd. that has already been incorporated in Malaysia?

Instead of incorporating an entirely new company, you may also choose, depending on your actual requirements, to purchase a:
Malaysia Shelf Company
Malaysian Ready-Made Company | Pre-Incorporated Sdn. Bhd.
The main feature of a Shelf Company is:

Company Already Incorporated → Select a Suitable Company → Complete the Necessary Due Diligence → Transfer Shareholders, Directors & Relevant Company Information → Take Over the Existing Sdn. Bhd.
________________________________________
① The Company Has Already Been Incorporated
You are not purchasing a company that is still waiting to be incorporated. You are taking over an existing Sdn. Bhd. that already has an established Date of Incorporation.

For example:
Date of Incorporation: 15.03.2024
Even if the client only purchases and takes over the company in 2026, the company’s original incorporation date remains:
15.03.2024
________________________________________
② Option to Select a Company Incorporated in an Earlier Year
Some clients may prefer a company that has already been incorporated for a certain period due to their specific business planning requirements.

A Shelf Company allows clients to select from the available company list based on different:

Company Names
Dates of Incorporation
Existing Basic Company Information
Important Notice:

An Earlier Incorporation Date ≠ Automatically Having a Good Credit Record

Bank financing, government projects, tenders, supplier credit facilities, and eligibility for commercial arrangements remain subject to the independent assessment of the relevant institutions based on the company’s actual history and their respective application requirements.
________________________________________
③ Avoid the Step of Incorporating a New Company from Scratch
As a Shelf Company has already completed the incorporation process, the client can focus on:
Due Diligence → Share Transfer → Director Changes → Company Information Updates → Subsequent Business Planning
________________________________________
④ Restructure the Company According to Your Actual Business Requirements
After taking over the Shelf Company, the following changes may be arranged according to your actual requirements:
Change of Director
Change of Shareholder
Share Transfer
Change of Company Name (if required)
Change of Nature of Business
Matching of New MSIC Code
Increase of Share Capital / Paid-Up Capital (if required and subject to actual capital injection)
________________________________________
⑤ Suitable for Clients Who Prefer to Take Over an Existing Company
For clients who do not wish to start from scratch by selecting a new company name, or who have specific commercial requirements relating to the company’s incorporation date, a Shelf Company provides an alternative way to acquire a Malaysian Sdn. Bhd.

In simple terms:

New Company Incorporation
Apply Today → Incorporate a New Sdn. Bhd.

Shelf Company
Select an Existing Sdn. Bhd. → Complete Due Diligence & Transfer Procedures → Take Over the Ready-Made Company

What Is a Malaysia Shelf Company?

The concept can be understood as:
Company Incorporated → Temporarily Placed “On the Shelf” → Awaiting a Buyer to Purchase and Take Over

After purchasing the company, the new owner may make the necessary changes according to the intended business requirements, such as share transfers, changes of directors, company name, Nature of Business, and share capital.

【Simple Example】
Assume there is a company:
ABC GLOBAL SDN. BHD.
Date of Incorporation: 15.03.2024
The company was incorporated in 2024 but has never formally commenced business operations.

In 2026, a client wishes to purchase and take over the company.
After completing the necessary Due Diligence and transfer procedures, the following changes may be made according to the client’s actual requirements:

Existing Shareholder → New Shareholder
Existing Director → New Director
Existing Company Name → Client’s Preferred New Company Name (if required)
Existing Nature of Business → New Nature of Business
Existing Share Capital → Increase Based on Actual Capital Injection (if required)

Once the relevant Company Secretarial and SSM procedures have been completed, the client takes over a company that was already incorporated in 2024, rather than a newly incorporated company established only in 2026.

【Shelf Company ≠ Illegal Company】
A Shelf Company simply refers to a company that has already been incorporated in advance and is being kept ready for a future transfer or takeover arrangement.

Malaysia Shelf Company | Ready-Made Company
Ready-Made Sdn. Bhd. | Pre-Incorporated Private Limited Company

【What Is Most Important When Purchasing a Shelf Company?】
The key consideration is not simply how many years ago the company was incorporated, but whether the company has a clear and properly documented history.

Before purchasing a Shelf Company, it is advisable to conduct basic Due Diligence to determine whether the company:

Has Previously Conducted Business | Has Any Bank Accounts or Transactions | Has Any Assets or Liabilities | Has Outstanding Tax Matters | Is Involved in Litigation | Has Given Any Guarantees | Has Outstanding SSM Statutory Filings | Has Any Relevant Shareholder or Director History

Therefore, the ideal concept of a Shelf Company should be:
Already Incorporated + Clear Corporate History + No Hidden Liabilities + Compliance Checks Completed + Proper Legal Transfer of Shares and Management

What Type of Company Should Foreign Shareholders Register to Operate a Retail Business in Malaysia?

Generally, you may incorporate a standard:
Private Limited Company (Sdn. Bhd.)
Malaysian Private Limited Company
as the business entity for conducting retail activities in Malaysia.
Foreign shareholders may hold shares in a Malaysian Sdn. Bhd.

However, the company must still comply with the requirements under the Companies Act 2016 relating to directors, registered office, Company Secretary, and other corporate compliance matters.

【During Incorporation | Please Specify the Exact Nature of Business】

Please provide us with details of the specific retail activities and types of products that the company intends to sell.

For example:
Clothing Retail | Furniture Retail | Electronics | Household Products | Beauty Products | Food Retail | Online Retail | Physical Retail Store | Wholesale & Retail | Import & Sales

Once we receive your business information, we will assist based on the actual activities provided:

Confirm the Nature of Business
↓
Search for and Match the Appropriate MSIC Code
↓
Register the Appropriate Nature of Business in the Company’s SSM Records

SSM’s business classification codes are based on the MSIC (Malaysia Standard Industrial Classification), and the BizCodEX system is available to assist in identifying appropriate business codes according to the actual business activities.

【Special Considerations for Foreign Shareholders】
Incorporating a Sdn. Bhd. ≠ Automatically Obtaining All Required Retail Business Approvals

As the business involves foreign shareholders + retail activities in Malaysia, after the company has been incorporated, further assessment may be required based on:

Foreign Shareholding Percentage + Products Sold + Retail Business Model + Business Premises + Company Capital

to determine whether the business is subject to the relevant KPDN Foreign Participation in Distributive Trade requirements, as well as any Premise Licence or other industry-specific licences required by the relevant Local Authority.

Therefore, we recommend planning the process as follows:
Incorporate a Sdn. Bhd.
↓
Confirm the Specific Retail Activities
↓
Match the Appropriate MSIC Code
↓
Complete the Company Incorporation
↓
Assess the Applicable KPDN / Distributive Trade Requirements Based on Foreign Shareholding and Retail Business Model
↓
If Operating a Physical Retail Outlet, Confirm the Premise Licence and Other Applicable Business Licences
↓
Commence Retail Business Operations

You only need to provide us with details of the retail products you intend to sell and your specific business model. Based on the information provided, we will assist you in identifying the appropriate Nature of Business and MSIC Code.

【Important Reminder | If the Company Has Ceased Operations, Plan for Strike-Off as Early as Possible】

If your Malaysian Private Limited Company (Sdn. Bhd.) is no longer actively operating and there are no plans to continue business activities in the future, it is advisable to assess the company’s position and arrange the Strike Off process as early as possible.

Please take particular note:
No Business Operations ≠ Company Has Been Struck Off

As long as the company remains legally in existence and has not been formally struck off, it may still be required to fulfil applicable company secretarial, Annual Return, accounting, taxation, and other statutory compliance obligations.

If the company is left inactive for a prolonged period without properly addressing these matters, it may result in:

Ongoing Compliance Costs → Accumulation of Outstanding Statutory Matters → Increased Risk of Non-Compliance → Penalties or Additional Rectification Costs, Where Applicable

Therefore, once it has been determined that the company will no longer continue its business operations, the earlier the accounts are completed, outstanding compliance matters are resolved, and the Strike Off process is initiated, the greater the opportunity to reduce unnecessary future compliance costs and potential risks.

Ceasing business operations only reflects the company’s business status; formal Strike Off is what brings the company’s legal existence to an end.

It is advisable not to wait until the company has accumulated several years of unresolved compliance matters before beginning the Strike Off process.

Taking early action and properly completing the necessary compliance and closing matters is a more prudent approach to exiting the company.

【Important Reminder | Accounts Must Be Completed Before Company Strike-Off】

Even if your Malaysian Private Limited Company (Sdn. Bhd.) is currently dormant, has no business income, or has already ceased operations, the relevant accounts must still be properly sorted and completed based on the company’s actual circumstances before formally proceeding with a Strike Off application.

We will require your cooperation in providing the relevant financial records from the date of incorporation up to the present so that the accountant can prepare the appropriate Financial Statements and determine the company’s actual financial position as at the date it ceased operations or before the Strike Off application.

This includes determining whether the company has:
Income or Expenses | Assets or Liabilities | Shareholder / Director Accounts | Outstanding Debts | Other Unresolved Accounting Matters

If the company has genuinely never commenced business, has no corporate bank account, or has never conducted any transactions, this must also be accurately disclosed to us. The accountant will handle the accounts accordingly based on the actual information available.

Financial and tax compliance matters cannot simply be disregarded merely because the company has no active business operations.
The necessary process should generally be completed in the following sequence:

Accounting Records & Accounts Preparation
↓
Financial Statements
↓
Tax Compliance / Tax Clearance (where applicable)
↓
Confirmation of No Outstanding Liabilities or Compliance Matters
↓
Strike Off Application
Only after the necessary matters have been properly addressed can the Strike Off application be further arranged according to the company’s actual circumstances.

Ceasing Business Operations ≠ Company Has Been Struck Off
Until the company is officially struck off the register by SSM, the company remains legally in existence.

Therefore, the earlier the company’s accounts and relevant compliance matters are sorted and resolved, the better the company can avoid delays in the Strike Off process, as well as unnecessary ongoing compliance costs and potential risks.

Foreign Applicants Incorporating a Malaysian Private Limited Company

Malaysia Sdn. Bhd. | Application & Compliance Requirements

【Important Notice | Please Read Before Applying】

Foreign applicants who wish to incorporate a Malaysian Private Limited Company (Sdn. Bhd.) must comply with the director residency requirements under Malaysia’s Companies Act 2016.

For foreign clients, our application acceptance and compliance review generally require the client to have one of the following appropriate arrangements:

① Independently Arrange an Individual Who Meets Malaysia’s Resident Director Requirements
If the client appoint a Malaysian local individual as a Nominee Director / Local Director, the client must arrange the relevant director independently.

Important Notice:
As a licensed company secretarial service provider, our firm does not provide Nominee Director services, nor do we source or arrange nominee directors on behalf of clients.

OR:
② Foreign Applicant Holds an Applicable Malaysia My Second Home (MM2H) or Other Eligible Long-Term Residence Status
If the applicant personally holds MM2H or another Malaysian long-term residence status, please provide the relevant supporting documents for our review to determine whether the applicant’s actual residency circumstances and director eligibility satisfy the applicable requirements.
________________________________________
【Foreign Shareholders | Two Identity Verification Requirements】
To comply with company incorporation, KYC / CDD, and client identity verification procedures, foreign shareholders are required to complete the following two identity verification procedures:

01 | Self-Recorded Video Holding Passport
The applicant is required to:
Record a video of himself/herself holding a valid passport (Self-Recorded Verification Video).

During the recording, please ensure:

Applicant’s face is clearly visible + Passport information page is clear and readable

Please do not use beauty effects, filters, or any other image-processing functions that may interfere with identity verification.

02 | Photo Holding Identity Card
The applicant is required to provide:
One front-facing photo of himself/herself holding the front side of the Identity Card

Photo requirements:
• The applicant’s face must be clearly visible from the front.
• Hold the Identity Card close to the camera and ensure all information is clear and readable.
• The text and photo on the Identity Card must appear in the correct orientation and must not be horizontally reversed.
• Please disable Mirror Mode on the mobile phone.
• Do not use beauty effects, filters, or digitally modify the Identity Card image.
The information provided will be used for client identity verification and company incorporation compliance procedures.
________________________________________
【After Company Incorporation | Preparation for Corporate Bank Account】

Once the company has successfully completed its SSM incorporation, the next stage is to prepare for:
Corporate Bank Account Opening

Before proceeding with the bank’s account-opening review, under our bank account preparation process, the client will need to prepare documents that can demonstrate the company’s genuine business operating location, such as:

Business Premise Tenancy Agreement
or
Office Tenancy Agreement

The client should also prepare any other KYC / Business Supporting Documents that may be required by the bank.
________________________________________
【Limited Budget | Affordable Office Options】
Foreign entrepreneurs who are just starting their businesses and have a limited budget do not necessarily need to rent a large office at the beginning.

Depending on the actual business model and the bank’s review requirements, the client may consider:
Small Office
Shared Office / Serviced Office
Commercial Space Suitable for the Actual Business Operations

The key principle is:
The business address and tenancy arrangement must be genuine and consistent with the company’s actual business activities.
It is not advisable to create a false tenancy agreement or use a non-existent business premise merely for the purpose of opening a corporate bank account.
________________________________________
【Important Reminder】

Successful Company Incorporation ≠ Automatic Approval of a Corporate Bank Account

Corporate bank account opening is subject to the bank’s independent:
KYC / AMLA / Risk Assessment
and final approval remains subject to the bank’s internal policies and compliance requirements.
