🚨 NEW COMPANY?

DID YOU KNOW YOU MAY BE EXEMPT FROM FILING CP204?

Newly incorporated companies may qualify for CP204 exemption for the first 2 Years of Assessment (YAs), subject to the applicable conditions.

Generally, the company must:

✅ Be newly incorporated in Malaysia
✅ Be resident in Malaysia
✅ Have paid-up capital not exceeding RM2.5 million

⚠️ IMPORTANT: FOREIGN OWNERSHIP

If more than 20% of the ordinary share capital is directly or indirectly owned by a foreign-incorporated company or a non-Malaysian citizen, the CP204 exemption does not apply.

⚠️ Malaysia SME Tax Rate: One Shareholding Rule Could Push You Back to 24%

Your company may qualify for Malaysia’s preferential SME tax rates if it meets the relevant conditions, including:

✅ Malaysian tax resident and incorporated in Malaysia
✅ Paid-up ordinary share capital ≤ RM2.5 million
✅ Gross business income ≤ RM50 million
✅ Meets the relevant related-company ownership requirements
✅ Foreign ownership does not exceed 20%

From YA 2024, more than 20% foreign ownership by a foreign-incorporated company or non-Malaysian citizen may result in the company losing its preferential SME tax rate.

For qualifying companies:

💰 First RM150,000 — 15%
💰 RM150,001 to RM600,000 — 17%
💰 Above RM600,000 — 24%

📌 Shareholding structure matters — not just capital and turnover.

Based on IRBM Public Ruling No. 8/2025 – Tax Treatment for Micro, Small and Medium Companies.

📢 What Is CP500?

Received a CP500 from LHDN? 😰 Don’t panic!

💡 CP500 is a tax instalment notice from LHDN requiring certain individuals to pay their estimated income tax in instalments throughout the year.

👤 It commonly applies to individuals with:
Business / self-employment income
Rental income
Other income not fully subject to PCB/MTD
📅 Your CP500 notice will show the instalment amount and payment due dates.

⚠️ Important: CP500 Penalty Waiver for 2026
The 10% late payment penalty on CP500 instalments is waived for the year 2026. This means no 10% penalty will be imposed on late CP500 instalment payments for 2026.

💡 If your income has changed, review your CP500 instalments to avoid unexpected tax issues.

💡 Did You Know?

Paying an overseas company? Withholding Tax (WHT) may apply.

For certain payments made to a non-resident company, 10% WHT may apply on the gross payment.

📌 Key points to remember:
• WHT is generally required to be paid to the IRB within 1 month from the date of payment.
• Non-compliance may result in a 10% penalty.
• The related expense may be disallowed as a tax deduction if the WHT requirements are not complied with.
• If the WHT is not withheld from the overseas company, the Malaysian company may have to bear the WHT cost.

Stay informed and ensure your overseas payments are properly reviewed for WHT requirements.
