SECP's extended the date of Companies Regularization Scheme up to 15th November 2024.

Dear All,
1. As you are aware that Securities & Exchange Commission of Pakistan (the SECP) launched the Companies Regularization Scheme, 2024 ("CRS") on 15th June 2024, offering defaulter companies an opportunity to regularize their statutory non-compliances under the Companies Act 2017 and the regulations made thereunder, and avoid payment of additional filing fees. Further, no penal action shall be taken for delayed filing during the duration of CRS.
2. The salient features of the Scheme includes: -
i. The companies taking benefit of the scheme would be entitled to file their overdue annual returns, other statutory forms and annual accounts (hereinafter referred as "documents") on payment of onetime filing fee without payment of any additional filing fee;
ii. The scheme shall be applicable to documents which are filed in the relevant CROs after the expiry of the period within which these were required or authorized to be filed or registered with the registrar concerned, except documents requiring registration under section 100, 101, 105, 106, 108 or 109 of the Companies Act, 2017.
iii. The scheme would be applicable to all the companies except listed companies, i.e. non-listed public companies, private companies including SMCs, trade organization, associations not for profit formed under section 42 of the Act, companies limited by guarantees and foreign companies;
iv. The documents under the Scheme can be filed either electronically or physically. To make filing easier, we encourage the companies to file the documents electronically.
3. In this regard, you are reminded to take advantage of this one-time opportunity to file overdue documents by 15th November, 2024. However, failure to do so shall result in necessary legal action as envisaged under the law. In addition, the names of the defaulter companies shall be displayed on the SECP?s website.
