๐๏ธ Mastering Construction Contracts: What is a Provisional Sum? ๐ ๏ธ
Ever wonder how construction projects handle parts of a building that aren't fully designed yet? Thatโs where Provisional Sums (PS) come in!
What is it? ๐ A Provisional Sum is a specific amount included in a contract for works, materials, plant, or services that cannot be fully measured or described at the time of the agreement
The Two Main Types: โ๏ธ
Defined PS: The work isn't fully designed, but the contract provides the nature of the work, its location, the scope/quantity, and any specific limitations
Undefined PS: This sum is provided when the detailed information required for a "defined" sum simply isn't available yet
How it Works in Practice: โ๏ธ
Fixed Amount: A specific figure (e.g., Rs. 900,000 for landscaping or Rs. 1.5M for security systems) is inserted into the Bill of Quantities (BOQ)
Instruction: During construction, the Engineer identifies and instructs the work to be carried out
Ex*****on: The Contractor or a Nominated Subcontractor executes the task
Payment: Instead of the original estimate, the Contractor is paid the actual cost plus overheads and profit
For Nominated Subcontractors, the payment includes actual amounts plus a fee for attendance (general or special services) provided by the main contractor
Why use them? ๐ค They are essential for anticipated works without firm designs or for work handled by statutory undertakers
This ensures the project keeps moving even when every detail isn't finalized on day one! ๐๏ธ๐
๐ Master Class: Safeguarding the Project: Understanding Performance Security (FIDIC Clause 4.2) ๐
In large-scale construction, trust is essential, but "Performance Security" is the contractual guarantee that ensures the work actually gets done. Under the FIDIC Red Book (1999), this is a critical requirement for every Contractor.
Here is what you need to know about the "rules of engagement" for Performance Security:
1. The 28-Day Countdown โณ
Timing is everything. Once a Contractor receives the Letter of Acceptance, the clock starts ticking. They must deliver the Performance Security to the Employer within 28 days. A copy must also be sent to the Engineer.
Pro Tip: If the security isn't received, the Employer has the right to withhold access to the site!
2. How Long Does It Last? ๐๏ธ
The security isn't just for the construction phase. It must remain valid and enforceable until the Contractor has:
๐Executed and completed the entire Works.
๐Remedied any defects identified during the project. If the security has an expiry date and the work isn't done yet, the Contractor must extend it at least 28 days before it expires.
3. When Can an Employer Make a Claim? ๐ฉ
This is not a "blank check." The Employer can only claim under specific circumstances, such as:
๐Failure to extend validity: If the Contractor doesn't renew a looming expiry.
๐Unpaid debts: If the Contractor fails to pay an agreed or determined amount within 42 days.
๐Failure to remedy: If a default isn't fixed within 42 days of a formal notice.
๐*Termination: If the Employer becomes entitled to terminate the contract.
4. The Final Handover ๐ค
Once the project is truly finished and the Performance Certificate is issued, the Employer must return the Performance Security to the Contractor within 21 days.
