April and May Business Name renewals are now due. Unlike companies, business names do not file returns every year, instead they file renewals every 3 years. IMPORTANT NOTICE:
Updates on Constitution and Annual Returns Filing – C**A - Companies and Intellectual Property Authority - Botswana

Please be informed that C**A is currently working on separating the Constitution Filing from the Annual Returns Filing processes.

Key Updates:

1. Annual Returns Deadlines:
o Companies with March 2025 year-ends have had their filing deadline extended to 30th April 2025.
o Companies with April 2025 year-ends must file by the 10th of May 2025.

2. Constitution Filing:
o The filing fee remains P500.
o The deadline for submission of the constitution is March 2026 (applicable to all existing companies).
o There are no changes to this process at this time.

3. Filing Requirements:
o Only a licensed Company Secretary can file annual returns.
o A valid practising certificate must be uploaded or attached during submission.
